1. Acceptance of these terms

These Terms of Use (“Terms”) govern your access to and use of www.vanine.co.za (the “Site”), operated by Vanine (Pty) Ltd, registration number 2022/472692/07 (“Vanine”, “we”, “us” or “our”). By accessing or using the Site you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site.

2. The Site

The Site provides information about Vanine, our services and our approach. Content on the Site is provided for general informational purposes only. It does not constitute professional, legal, financial or technical advice, and it does not constitute an offer capable of acceptance. Any engagement between Vanine and a client is governed by a separate written agreement, and nothing on the Site forms part of such an agreement unless expressly incorporated in writing.

3. Intellectual property

All content on the Site, including text, graphics, logos, designs, page layouts, visualisations and software, is the property of Vanine or its licensors and is protected by copyright, trade mark and other intellectual property laws.

You may view, download and print content from the Site for your own internal, non-commercial reference. You may not otherwise reproduce, distribute, modify, create derivative works from, publicly display or exploit any content from the Site without our prior written consent.

The Vanine name and logo may not be used without our prior written consent.

4. Acceptable use

You agree not to:

• use the Site in any way that breaches applicable law or regulation;
• attempt to gain unauthorised access to the Site, the server on which it is hosted or any connected system;
• introduce viruses, malware or other material that is malicious or technologically harmful;
• use automated systems to scrape, harvest or extract data from the Site, except as permitted by our robots.txt file for the purpose of search engine indexing; and
• misrepresent your affiliation with any person or organisation when contacting us through the Site.

The Site may contain links to third-party websites and services. These links are provided for convenience only. We do not control and are not responsible for the content, availability or practices of third-party websites, and a link does not imply endorsement.

Our collection and use of personal information through the Site is described in our Privacy Policy, available at www.vanine.co.za/privacy-policy, which forms part of these Terms.

7. Disclaimers

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no representations or warranties of any kind, whether express or implied, regarding the Site or its content, including any warranty of accuracy, completeness, fitness for a particular purpose or non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

8. Limitation of liability

To the fullest extent permitted by law, Vanine, its directors, employees and agents shall not be liable for any direct, indirect, incidental, consequential or special loss or damage of any kind arising out of or in connection with your access to or use of the Site, or your reliance on any content on the Site, even if we have been advised of the possibility of such loss or damage.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under the laws of the Republic of South Africa, including under the Consumer Protection Act, 68 of 2008, where that Act applies.

9. Indemnity

You agree to indemnify and hold Vanine harmless from any claim, loss, liability or expense, including reasonable legal costs, arising out of your breach of these Terms or your misuse of the Site.

10. Changes to the Site and these Terms

We may modify, suspend or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. The effective date at the top of this page indicates when the Terms were last revised. Continued use of the Site after a revision constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. You agree to submit to the exclusive jurisdiction of the courts of the Republic of South Africa in respect of any dispute arising out of or in connection with these Terms or the Site.

12. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. A failure by us to enforce any provision of these Terms shall not constitute a waiver of that provision.
